TicketStats Terms of Use and Service Agreement

By accessing or using any of the following websites — TicketStats.co, TicketStat.co, TicketStats.agi, TicketStat.agi, TicketStats.pw, TicketStat.pw (collectively, the “Site”) — or any associated mobile applications, tools, or services provided by TicketStats (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Use and Service (these “Terms”). If you do not agree to these Terms, you must immediately cease all use of the Site and Services.
These Terms constitute a binding legal agreement between you and TicketStats (referred to herein as “TicketStats,” “we,” “us,” or “our”).

1. Description of Services
TicketStats provides an AI-powered platform that analyzes publicly available sports data to deliver statistical insights, performance metrics, and educational content related to sports events, players, and potential outcomes. The Services are intended solely for entertainment and educational purposes. TicketStats does not offer, facilitate, or engage in any form of sports betting, gambling, wagering, or financial advice. Any insights, picks, or analysis generated by the Services do not constitute recommendations to bet or wager on any outcome and carry no guarantee of accuracy, completeness, or profitability. You are solely responsible for any decisions you make based on the Services, including any betting or gambling activities conducted on third-party platforms.
2. Eligibility
To use the Services, you must: (i) be at least 18 years of age (or the age of majority in your jurisdiction of residence, whichever is greater); (ii) have the legal capacity to enter into binding contracts; (iii) reside in a jurisdiction where use of the Services is legal; and (iv) not be a person barred from receiving the Services under applicable law. You represent and warrant that you meet all eligibility requirements and will comply with all local, state, and federal laws. We reserve the right to restrict access or terminate accounts in any jurisdiction where the Services may be deemed unlawful.
3. User Accounts and Security
Certain features of the Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update it promptly. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your account.
4. Payments and Third-Party Processors
If the Services include any paid features, subscriptions, or other transactions, payments will be processed exclusively by independent third-party payment processors (for credit/debit cards and cryptocurrency). TicketStats has no control over, and assumes no responsibility or liability for, the operations, security, or performance of any third-party payment processor. You agree that your payment obligations are governed solely by the terms of the applicable third-party processor. All fees are non-refundable unless otherwise stated.
5. User Conduct and Prohibited Activities
You agree not to:
Use the Services for any illegal purpose or in violation of any applicable laws.
Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code or underlying AI models of the Services.
Scrape, crawl, or data-mine the Site or Services for commercial purposes.
Create multiple accounts or engage in account sharing.
Transmit any viruses, malware, or harmful code.
Interfere with or disrupt the Services or any servers or networks connected to the Services.
Impersonate any person or entity or misrepresent your affiliation with any person or entity.
Use the Services to harass, threaten, or defame others.
Violation of these rules may result in immediate termination of your access without notice.
6. Intellectual Property Rights
All content, data, insights, designs, logos, trademarks, AI-generated materials, and other intellectual property on the Site and Services are owned by TicketStats or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial entertainment and educational purposes only. You may not copy, modify, distribute, sell, or create derivative works from any content without our prior written consent. Any unauthorized use terminates the license automatically.
7. Disclaimers and Warranties
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. TicketStats does not warrant the accuracy, reliability, or completeness of any AI-generated insights, statistics, or data. All information is for entertainment and educational purposes only. We make no representations or warranties regarding outcomes, results, or profitability associated with any use of the Services. You assume all risk associated with your reliance on the Services.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TICKETSTATS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL TICKETSTATS’ TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT YOU PAID TO TICKETSTATS (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations, so the above may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless TicketStats and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) your violation of these Terms; (iii) any betting or gambling activities you engage in based on the Services; or (iv) any content or information you submit to the Services.
10. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all licenses granted to you will immediately cease, and you must cease all use of the Services. Sections that by their nature should survive (including disclaimers, limitations of liability, indemnification, and governing law) will survive termination.
11. Modifications to the Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms.
12. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be resolved through good-faith informal negotiation. If not resolved within thirty (30) days, the dispute shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration shall be conducted in the English language in Wilmington, Delaware. You and TicketStats agree to waive any right to a jury trial or to participate in a class action, class arbitration, or representative proceeding. Each party shall bear its own costs, except as otherwise provided by law. This arbitration agreement shall survive termination of these Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the internal laws of the State of Delaware and applicable federal laws of the United States, without regard to conflict of laws principles. Any non-arbitrable disputes shall be brought exclusively in the state or federal courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
14. Miscellaneous
These Terms constitute the entire agreement between you and TicketStats regarding the Services and supersede all prior agreements. If any provision is held invalid, the remainder shall continue in full force. Our failure to enforce any right does not constitute a waiver. We may assign these Terms without restriction. You may not assign without our prior written consent. There are no third-party beneficiaries to these Terms.
